Terms of Professional Engagement
Governing rules, intellectual property allocations, and technical execution criteria for multidisciplinary Design & Build, engineering consultancy, and digital BIM contracts executed by VADsoft Private Limited.
1. Scope of Professional Engagement
VADsoft Private Limited delivers multidisciplinary architectural design, structural engineering, MEPF modeling, digital BIM coordination, and turnkey construction management strictly governed by signed Work Orders, Contracts, or formal Letters of Intent (LOI).
Each engagement explicitly defines the contracted Level of Development (LOD 200, 300, 350, 400, or 500), milestone deliverables, Good-for-Construction (GFC) issuance schedule, and designated project boundaries. Work performed beyond the contracted scope constitutes a Variation.
2. Intellectual Property, Models & Custom Scripts
Good-for-Construction (GFC) engineering drawings and tailored BIM federations produced for a specific engagement are licensed to the Client exclusively for the physical construction and facility maintenance of the designated project site.
All proprietary computational algorithms, custom Revit C# add-ins, Dynamo visual scripts, Python workflow packages, and internal BIM family libraries authored by VADsoft remain the exclusive intellectual property of VADsoft Private Limited and may not be extracted or commercialized by third parties.
3. Project Variations & Change Management
Any client-directed modifications to approved architectural layouts, structural grids, or MEP design criteria following formal milestone sign-off will be documented via a formal Change Order Request (COR).
VADsoft evaluates the impact of each variation on cost, site schedule, and coordination clashes before physical execution proceeds, ensuring complete transparency for project owners.

5. Engineering Standards & Warranties
All structural analysis and civil engineering works comply with relevant Indian Standards (IS 456, IS 800, IS 1893) and the National Building Code (NBC) 2016. Digital BIM deliverables adhere to the ISO 19650 international framework for building information management.
Turnkey civil construction projects carry standard Defect Liability Period (DLP) terms as specified in the individual contract agreement, typically 12 months post-handover.
6. Jurisdiction & Dispute Resolution
Unless otherwise agreed in an international bilateral contract, all commercial agreements and professional engagements entered into with VADsoft Private Limited are governed by the laws of India, under the jurisdiction of the competent courts in Pune, Maharashtra.
